Business Formation & Maintenance

Mr. Cooper offers certain business formation and maintenance services at flat rates, which allows the client to predict and control costs.  Fees are pre-paid, meaning work does not begin until after full payment is received.

PLEASE NOTE: Pre-paid fees are deemed earned when paid, and become the attorney’s property, but the client has the right to terminate the attorney-client relationship at any time. The client may be entitled to a refund of a portion of the fee if the agreed-upon legal services have not been completed at the time of termination.

  • Incorporation, $1,250 + filing fees (written fee agreement required).  Includes
    • 1 hour consultation (phone or in-person)
    • preparation of articles of incorporation
    • custom bylaws based on client’s requirements
    • custom initial organizational minutes
    • federal tax ID number (if desired)
    • preparation of IRS S-corporation election (if applicable)
    • two certified copies of articles of incorporation

  • Limited Liability Company Formation – single member, $1,250 + filing fees (written fee agreement required). Includes

    • custom operating agreement based on client’s instructions
    • one certified copy of articles of organization

    • engraved printed ownership share certificate

  • Limited Liability Company Formation – multiple members, $2,000 + filing fees (written fee agreement required). Includes

  • Preparation of formal corporate minutes from client notes, $200 per set of minutes
  • Annual corporate update, $250 per entity + filing fees, if any.  Includes preparation of one set of annual corporate minutes from client notes to cover transactions during the year, preparation and filing of the annual statement of information with the secretary of state.
